(considerando as informações operacionais das Companhias em 30 de junho de 2026);

3.2. Estimated Costs. The total costs and expenses to be incurred by YDUQS in carrying out and completing the Merger, including the fees of legal advisors, appraisers and auditors and the costs of carrying out, registering and publishing the corporate acts, are estimated not to exceed R$ 50 million.
3.3. Risks. The managements of the Companies believe that the consummation of the Transaction does not increase the risk exposure of the Company or of Afya (except for the potential tax impacts arising from the OECD Pillar 2 rule, which will depend on the Combined Company’s reported results) and does not materially affect the risk of shareholders, investors and interested third parties, although they understand that the success of the Transaction will depend mainly on the Combined Company’s ability to integrate the Companies’ businesses and to realize the growth opportunities and cost savings resulting from the combination of the businesses of the Company and Afya. If such objectives are not successfully achieved, the expected benefits of the Transaction may not be fully realized, or may take longer to be realized. There are natural risks of fluctuation in the price of the Combined Company’s shares after the Merger becomes effective, which are inherent to the capital markets and borne by all shareholders of the Combined Company.
Following the closing of the Transaction, the Combined Company will be subject to the OECD/G20 Pillar 2 rules, which establish a minimum effective tax rate of 15%, per jurisdiction, for large multinational groups. Afya is already subject to these rules as a member of the Bertelsmann Group. Upon consummation of the business combination, the results currently generated by YDUQS will also be taken into account in calculating the minimum tax due under Pillar 2. Consequently, the application of these rules may result in additional taxes and an increase in the Combined Company’s tax burden, adversely affecting its operating and financial results.
In addition, the consummation of the Transaction is conditioned upon, among other Conditions Precedent, final and non-appealable approval by CADE. Should CADE not approve the Transaction by means of a final and non-appealable decision, the Transaction will not be consummated and the Merger Agreement may be terminated, in which case the compensatory penalty provided for in the Merger Agreement will not be due.
14. Exchange Ratio
The exchange ratio was defined on a Fully Diluted Basis, resulting in Afya’s current shareholders holding 69.0% and YDUQS’s current shareholders holding 31.0% of the Combined Company’s share capital immediately after the Closing Date. On the date of execution of the Merger Agreement (September 23, 2026), the Exchange Ratio was calculated based on data as of September 14, 2026, resulting in each one (1) Class A common share and each one (1) Class B common share issued by Afya entitling its holder to receive 6.408347 registered, book-entry common shares with no par value issued by YDUQS, with the resulting number of shares rounded down to the nearest whole number, subject to the treatment of fractions set forth in the Protocol and Justification (“Exchange Ratio”).
The Exchange Ratio was freely negotiated between the managements of YDUQS and Afya, on an arm’s length basis, based on the relative economic valuations of the Companies, on a Fully Diluted Basis, in view of the nature of their respective activities, within a set of economic, operational and financial assumptions applicable to the Companies.
The Exchange Ratio is subject to adjustments, as provided for in the Merger Agreement and in the Protocol and Justification, relating to: (i) purely arithmetic adjustments resulting from stock splits or reverse stock splits, stock bonuses, capitalizations of reserves through the issuance of shares, stock dividends or issuances of shares under the Companies’ share-based long-term incentive plans, between the date of execution of the Merger Agreement and the Closing Date, with no adjustment with respect to the instruments in effect on the date of execution of the Merger Agreement relating to grants made prior to such date that are already reflected on the Fully Diluted Basis; (ii) the valid exercise of dissenters’ rights by Afya shareholders holding outstanding shares as of the date of Afya’s general meeting who validly exercise dissenters’ rights in respect of the Merger and do not waive or lose such rights, with the consequent cancellation of their Afya shares and the receipt of cash by such Afya shareholders; and (iii) share repurchase transactions by Afya or YDUQS resulting in a change in the number of outstanding shares issued by Afya or YDUQS after the date of execution of the Merger Agreement.
Fractional Shares. Any fractions of shares issued by YDUQS resulting from the application of the Exchange Ratio will be aggregated into whole shares and sold on the market managed by B3 after the Closing Date, in accordance with procedures to be disclosed in due course by means of a notice to shareholders to be published by the Combined Company. The net proceeds of the sale, after deduction of the applicable brokerage costs, taxes and foreign exchange expenses, will be made available to the former Afya shareholders in proportion to their respective fractions sold.
Afya Ineligible Shareholders. Pursuant to the terms of the Merger Agreement, the issuance of shares of the Combined Company as a result of the Merger will not be registered under the Securities Act (as defined below) or the U.S. Securities Exchange Act of 1934. Accordingly, only those Afya shareholders who (i) have timely submitted, in accordance with the procedures established by YDUQS and Afya and reasonably satisfactory to both, a duly completed certification and the required supporting documents and information certifying that they are (a) “qualified institutional buyers”, as defined in Rule 144A under the U.S. Securities Act of 1933, as amended (“Securities Act”), (b) “institutional accredited investors”, as defined in Rule 501(a) under the Securities Act, or (c) persons who are not “U.S. persons” as defined in Regulation S under the Securities Act; or (ii) are persons to whom an offer may be made pursuant to another exemption from the registration requirements of the Securities Act, will be entitled to receive common shares of the Combined Company as a result of the Merger.
On the other hand, Afya shareholders who (i) fail to timely submit the certification and the supporting documents and information required by the Companies, or (ii) certify that they are “U.S. persons” who are not “qualified institutional buyers” or “institutional accredited investors”, in each case unless Afya reasonably determines that such shareholder is a “qualified institutional buyer”, an “institutional accredited investor” or a person to whom an offer may be made pursuant to another exemption from the registration requirements of the Securities Act (collectively, the “Afya Ineligible Shareholders”), will not directly receive shares issued by the Combined Company. After the Closing Date, the Afya Ineligible Shareholders will receive exclusively the proceeds from the sale of the shares to which they would otherwise be entitled, net of brokerage costs, taxes (including withholdings), foreign exchange expenses and other charges related to the sale and to the remittance of the funds, subject to applicable withholdings and without interest, in accordance with the procedures set forth in the Merger Agreement and in the materials to be disclosed to shareholders in due course. Neither YDUQS nor the Combined Company will have any obligation to fund, guarantee or increase any amount owed to the Afya Ineligible Shareholders to compensate for taxes or other deductions (gross-up) arising from the sale of the shares to which they would otherwise be entitled.
The sale of the shares issued by the Combined Company that would otherwise be allocated to such Afya shareholders will be carried out on B3, in an orderly manner, by an intermediary jointly appointed by the Companies. The complete procedure will be disclosed to shareholders in due course so that: (i) Afya shareholders who are Afya Eligible Shareholders may receive new shares issued by the Combined Company, including through the timely delivery of a Letter of Transmittal, the obtaining of an investor registration in Brazil and the opening of custody accounts or accounts with the bookkeeping agent; (ii) the sale of the shares issued by the Combined Company to which the Afya Ineligible Shareholders would otherwise be entitled may be carried out; and (iii) the Afya Ineligible Shareholders may receive the net proceeds from the sale of the shares issued by the Combined Company. The Companies may, by mutual agreement and subject to the Merger Agreement and the Shareholder Materials, request information and establish procedures or requirements to be observed by Afya shareholders in order to enable the implementation of the foregoing, and the shares of the Combined Company attributable to Afya Eligible Shareholders who fail to timely comply with such procedures may be sold on B3, on the same terms applicable to the Afya Ineligible Shareholders, as provided for in the Shareholder Materials.
The Companies may, by mutual agreement and upon disclosure to shareholders, establish rules and procedures additional or supplementary to those set forth in the Protocol and Justification, solely for the purpose of implementing any adaptations required under the laws of the United States of America or procedures that may be agreed upon with B3, the bookkeeping agents and/or the custodians of the securities issued by the Companies.
15. Criteria for Determining the Exchange Ratio
The Relative Economic Value of the Companies was freely negotiated between the managements of YDUQS and Afya, taking into account, among other factors, the trading history of the Companies’ shares, their respective market prices and the application of a premium in the context of the negotiation, as well as market benchmarks for transactions of a similar nature, in addition to the nature of their respective activities and a set of economic, operational and financial assumptions applicable to the Companies. The fairness, from a financial point of view, of the Relative Economic Value of the Companies was the subject of a Fairness Opinion prepared by Banco BTG Pactual S.A. for YDUQS. The Relative Economic Value of the Companies is final and not subject to any adjustments.
16. Main Assets and Liabilities that Will Form Each Portion of the Equity, in the Event of a Spin-off
Not applicable, since the Transaction does not involve a spin-off.
17. Submission of the Transaction for Approval by Brazilian or Foreign Authorities
The consummation of the Transaction is subject to, among other conditions, final and non-appealable approval by CADE and the other applicable regulatory approvals or measures in Brazil, the Cayman Islands and the United States, as the case may be.
18. Transactions Involving Parent Companies, Subsidiaries or Companies under Common Control
Considering that the Companies are not parent company and subsidiary, respectively, nor companies under common control, and that the Transaction was freely negotiated between their respective managements, it is not necessary to calculate the Exchange Ratio for comparison purposes based on the shareholders’ equity of the Company and Afya valued at market prices, pursuant to Article 264 of the Brazilian Corporation Law.
19. Applicability of Withdrawal Rights
Pursuant to applicable law, YDUQS shareholders will not be entitled to any withdrawal rights in connection with the Transaction, since, as the surviving company, YDUQS is not subject to the provisions on withdrawal rights set forth in Articles 136 and 137 of the Brazilian Corporation Law. Any rights granted to Afya shareholders will be governed by the laws of the Cayman Islands and by the Transaction documents.
